Terms of Service
Last updated October 12, 2026
The short version
- Sonty is for practices of all kinds. You own your practice's data; we use it only to run the service for you.
- Inventory red flags and fee comparisons are estimates to help you look closer. They are not proof of wrongdoing and not professional advice.
- You're responsible for having patients' consent before we text them on your behalf.
- Patients: see the text message terms. Reply STOP to opt out at any time.
These Terms of Service ("Terms") are an agreement between [legal entity name] ("Sonty", "we", "us") and the practice or other business that creates an account or uses the Sonty service ("Customer", "you"). The person accepting these Terms confirms they have authority to bind the Customer. By creating an account or using the service, you agree to these Terms and to our Privacy Policy.
If you have signed an order form, pilot agreement or other written agreement with us, that agreement controls where it conflicts with these Terms. Our Business Associate Agreement with you ("BAA") controls anything about protected health information.
1. The service
Sonty is a web-based service for dental, medical, med spa, chiropractic, veterinary and other appointment-based practices. It includes supply and inventory tracking with loss-prevention alerts, expiry alerts, delivery photo reading, a fee comparison, QuickBooks financial summaries, review monitoring, and patient text messaging for reminders, recalls, review requests and booking. Sonty is a business tool for practices. It is not offered to consumers.
We are improving the service continually and may add, change or remove features. We will not materially reduce the core features of a paid plan during a billing period you have already paid for. Features marked as pilot, beta or preview are provided as they are and may change or end.
2. Accounts
- Give us accurate account information and keep it up to date.
- Keep passwords confidential. You are responsible for everything done under your account, and for the staff you give access to.
- Tell us right away at [legal contact email] if you suspect unauthorized access.
- A new account sees sample data only. We link an account to a practice's live data after we verify the practice.
3. Your data
You own your data. This includes everything you or your connected systems provide: patient information, appointments, procedures, financials, supplier orders, uploads and counts ("Customer Data"). You give us permission to host, copy, process and display Customer Data only as needed to provide and support the service for you.
Protected health information. To the extent Customer Data includes protected health information under HIPAA, we act as your business associate and handle it as our BAA requires. You must sign the BAA before connecting patient data to Sonty.
Aggregated data. We may use aggregated supply, usage and pricing figures that contain no patient information and do not identify you to improve the service, for example to suggest better supplies-per-procedure estimates or price comparisons.
Export and deletion. You can ask for an export of your Customer Data at any time while your account is active. After your account ends, we delete or return it as described in our Privacy Policy and the BAA.
4. Your responsibilities
- Right to share data. You have the rights, notices and authorizations required for the Customer Data you provide, and to connect the systems you connect.
- Patient consent to text. You will text, through Sonty, only patients who have given your practice their mobile number and agreed to receive texts from it. You will keep the "OK to text" setting in your practice software accurate. You are responsible for complying with the Telephone Consumer Protection Act and other messaging laws for texts sent on your behalf.
- Your own compliance. You remain responsible for your practice's compliance with HIPAA, state licensing board rules and other laws that apply to you.
- Review what you save. Delivery photos and invoices are read automatically and shown to you to check before saving. You are responsible for reviewing them.
5. Alerts, estimates and comparisons
Sonty's inventory alerts compare what your procedures are expected to use with what was bought and counted. They rely on estimated supplies per procedure, your supplier files and your shelf counts. A red flag means "this doesn't add up, worth a look." It is not evidence that any person did anything wrong. Over-ordering is often waste, bulk buying or data entry. Do not take disciplinary or legal action against anyone based solely on a Sonty alert. Investigate first.
Fee comparisons use third-party fee survey data licensed to us. They are for your practice's internal reference only. You may not copy, publish or redistribute the survey figures. Your fees are your own decision.
Sonty does not provide clinical, legal, accounting, tax or financial advice. Nothing in the service is a substitute for a qualified professional.
6. Connected services
Sonty works with services we don't control, including Open Dental, QuickBooks Online, Google Business Profile, Twilio and your supply distributors. Your use of those services is governed by their own terms. We are not responsible for their availability, accuracy or changes. If one of them changes or limits its connection, the matching Sonty feature may stop working until we can adapt.
7. Fees and payment
- Fees are shown on our pricing page or in your order form or pilot agreement. Pilot terms, including any free period, are set in your pilot agreement.
- Subscriptions are billed monthly in advance. Text message usage is billed monthly in arrears, at our cost.
- Fees do not include taxes. You are responsible for applicable sales and use taxes.
- If a payment is more than 30 days late, we may suspend the service after giving you at least 10 days' notice.
- We may change prices with at least 30 days' notice. Changes take effect at your next billing period.
- Except where required by law, fees already paid are not refundable.
8. Acceptable use
You will not, and will not let anyone else:
- send marketing, unsolicited or unlawful messages through Sonty, or text anyone without the consent described above;
- upload content you have no right to use, or anything malicious;
- try to access other customers' data or bypass security or usage limits;
- reverse engineer, copy or resell the service, or use it to build a competing product;
- use the service in violation of any law.
9. Text message terms (for patients)
Sonty sends text messages on behalf of your practice.
- What you'll receive: appointment reminders and confirmations, reminders when you're due for a checkup or cleaning, requests to review the practice, and replies when you book by text.
- How you agreed: by giving your practice your mobile number and agreeing to receive texts from it. Agreeing is not a condition of receiving care.
- Frequency: varies with your appointments, typically a few messages per appointment.
- Cost: message and data rates may apply, depending on your mobile plan.
- To stop: reply STOP at any time. You'll get one confirmation and no further texts. Reply START to opt back in.
- For help: reply HELP, call your practice, or email [legal contact email].
- Carriers are not liable for delayed or undelivered messages.
- See our Privacy Policy. Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes.
10. Our property and feedback
Sonty and its software, design and content belong to us and our licensors. These Terms give you a right to use the service while your account is active. They do not transfer ownership. If you send us suggestions, we may use them without any obligation to you.
11. Term and termination
These Terms apply while you have an account. You can cancel at any time, effective at the end of your current billing period, by emailing [legal contact email]. We may suspend or end your account if you materially breach these Terms and don't fix the breach within 15 days of notice, or immediately if your use threatens the security of the service or other customers, or breaks the law. Sections 3 (data deletion and return), 5, 7 (unpaid fees), 10 and 12 through 15 survive termination.
12. Disclaimer
Except as expressly stated in these Terms, the service is provided "as is" and "as available". To the fullest extent allowed by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, that every text will be delivered, or that alerts will catch every loss.
13. Limitation of liability
To the fullest extent allowed by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility. Each party's total liability arising out of these Terms will not exceed the fees you paid us in the 12 months before the claim arose. These limits do not apply to your payment obligations, to either party's indemnity obligations, or to liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify Sonty against third-party claims arising from Customer Data you had no right to provide, from texts sent without the patient consent required by Section 4, or from your breach of Section 8. We will defend and indemnify you against third-party claims that the Sonty service, as we provide it, infringes their intellectual property. The party seeking indemnity must give prompt notice and reasonable cooperation, and let the other party control the defense.
15. General
- Governing law. These Terms are governed by the laws of the State of [state], without regard to its conflict-of-law rules. The state and federal courts located there have exclusive jurisdiction.
- Changes. We may update these Terms. We will post the new version here and, for material changes, email account holders at least 30 days before they take effect. Continuing to use the service after that means you accept the change.
- Notices. We send notices to your account email. You send notices to [legal contact email].
- Assignment. Neither party may assign these Terms without the other's consent, except to a successor in a merger or sale of substantially all of its business.
- Force majeure. Neither party is responsible for delays caused by events beyond its reasonable control, including outages of connected services or carriers.
- Entire agreement. These Terms, the Privacy Policy, the BAA and any order form or pilot agreement are the entire agreement between us. If a provision is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver of it.
